1. Acceptance of Terms
These Terms of Service (the "Terms") constitute a binding agreement between Quadline Systems, LLC ("Quadline Systems," "we," "us," or "our") and the practice, organization, or individual ("you" or "Customer") accessing or using our websites, software applications, application programming interfaces, and practice growth services (collectively, the "Services").
By registering an account, executing an order form, or otherwise accessing the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms on behalf of yourself and the entity you represent. If you do not agree to these Terms, you may not access or use the Services.
2. Accounts & Eligibility
You may access the Services only through an authorized account. You represent that you are at least eighteen (18) years of age, that you possess the legal authority to bind the practice or organization you represent, and that any administrative credentials issued to your practice are used only by authorized personnel under your control.
You are responsible for maintaining the confidentiality and security of all account credentials and for all activity that occurs under your account. You agree to notify Quadline Systems promptly of any unauthorized access, security breach, or suspected misuse of credentials.
3. Subscriptions, Fees & Taxes
Access to the Services is provided under a subscription model described in an applicable order form, statement of work, or pricing schedule agreed between you and Quadline Systems (the "Order Form"). Subscription fees, billing cadence, and included capabilities are governed by the Order Form, which is incorporated into these Terms by reference.
You agree to pay all fees as they become due. Recurring charges will be billed in advance on the schedule set out in the Order Form. Unless stated otherwise, all fees are exclusive of applicable taxes, and you are responsible for any sales, use, or similar taxes imposed on your subscription, excluding taxes based on Quadline Systems' net income.
4. Customer Content & License
"Customer Content" means all data, records, schedule information, patient communications, intake responses, and other materials you or your practice submit, transmit, or process through the Services. As between the parties, you retain all right, title, and interest in and to your Customer Content.
You grant Quadline Systems a limited, non-exclusive, revocable license to access, host, transmit, and process Customer Content solely as necessary to provide and operate the Services under your direction and in accordance with your applicable Business Associate Agreement (BAA).
Zero-PHI Model Training Pledge
Customer Content, clinical records, patient responses, and Protected Health Information (PHI) processed through Quadline Systems are strictly confidential. Quadline Systems NEVER uses Customer Content or PHI to train public or foundation AI models, and does not share such content with third-party model training corpora under any circumstances.
5. Acceptable Use
You agree not to use the Services to:
- Send unsolicited, deceptive, or unlawful messages, including communications that violate the Telephone Consumer Protection Act (TCPA), CTIA messaging principles, or applicable carrier A2P 10DLC campaign standards.
- Transmit content that is unlawful, harmful, defamatory, or infringes the intellectual property or privacy rights of any third party.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying models, or internal architecture of the Services.

6. AI Outputs & Clinical Disclaimer
The Services may include artificial intelligence and automation capabilities that generate operational outputs such as scheduling suggestions, recall messaging drafts, intake summaries, and engagement analytics. These outputs are provided as operational tools to support practice workflow efficiency.
Clinical & Medical Disclaimer
Quadline Systems does not provide medical, clinical, diagnostic, or treatment advice. AI-generated outputs are not a substitute for professional clinical judgment. Quadline Systems bears no liability for clinical outcomes resulting from reliance on, or failure to review, AI-generated outputs.
7. Our Intellectual Property
Except for your Customer Content, the Services, including all software, workflows, models, designs, documentation, and Quadline Systems trademarks, are and remain the exclusive property of Quadline Systems and its licensors. No rights are granted to you except as expressly set out in these Terms or an applicable Order Form.
You may not copy, modify, distribute, or create derivative works of the Services, nor may you use Quadline Systems trademarks, trade names, or branding without prior written consent.
8. Third-Party Services & Integrations
The Services may integrate with third-party platforms such as practice management systems, electronic health records, email relays, calendar providers, and telecommunications gateways. You are responsible for maintaining the proper authority, credentials, and compliance posture for any third-party platform you connect to the Services.
9. Confidentiality
Each party agrees to protect the other's confidential and proprietary business information disclosed in connection with the Services. Confidential information will be used solely to perform under these Terms and will not be disclosed to third parties without consent, except as required by law.

EXCEPT AS EXPRESSLY SET OUT HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND QUADLINE SYSTEMS DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. QUADLINE SYSTEMS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE FEES PAID BY YOU TO QUADLINE SYSTEMS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION DOES NOT APPLY TO A PARTY'S INDEMNIFICATION OBLIGATIONS OR TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

13. Term & Termination
These Terms are effective upon your acceptance and continue for the duration of your active subscription. Either party may terminate for material breach by the other party, provided the breaching party is given thirty (30) days' written notice to cure the breach.
Quadline Systems may suspend or terminate access immediately if your conduct threatens the security, stability, or legal compliance of the Services, including violations of carrier messaging standards or applicable healthcare law. Upon termination, your right to access the Services ceases, and Protected Health Information will be returned or securely destroyed in accordance with your BAA and NIST SP 800-88 sanitization standards.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the jurisdiction in which Quadline Systems, LLC is organized, without regard to conflict-of-laws principles. You and Quadline Systems submit to the exclusive venue of the courts located in that jurisdiction for any dispute arising out of or relating to these Terms.
